1.1 These General Terms and Conditions of Use (the "Terms") govern access to and use of the entire digital ecosystem operated by Entre Ceibas, Sociedad Anónima ("Entre Ceibas", "we", "us"), organized under the laws of the Republic of Guatemala, including the website entreceibas.com, the web application app.entreceibas.com, and any associated integration (together, the "Ecosystem"), operated and marketed under the Entre Ceibas brand.

1.2 This document is the single master version of the Terms: it replaces both the version previously published at entreceibas.com/legal/terminos (August 11, 2026) and the one at app.entreceibas.com (July 22, 2026).

1.3 Accessing or using the Ecosystem, creating an account, making a booking from the Curated Catalog, or registering for an Event, constitutes full acceptance of these Terms. If you do not agree, you must not use the Ecosystem.

1.4 How to know which regime applies to you. Every experience, event, or listing on the Ecosystem expressly states whether it belongs to the Curated Partner Catalog (Part A — resale, Entre Ceibas is liable) or to the Events and Marketplace regime (Part B — intermediation, the Organizer or Merchant is liable). If in doubt, the listing and its detail page are the source of truth; failing that, bookings made on entreceibas.com through the embedded Bókun calendar are governed by Part A, and events published and discovered on app.entreceibas.com are governed by Part B.

• Curated Partner Catalog: the set of tourism and activity experiences that Entre Ceibas selects, publishes, and sells as its own products on entreceibas.com, even when operated by a partner.
• Event: a sports, urban tourism, recreational, or community activity published by an Organizer on app.entreceibas.com, ranging from an informal outing among individuals to a mass event organized by a bank, municipality, shopping center, or brand.
• Organizer: an individual or legal entity that publishes and runs an Event under the Part B regime, acting independently of Entre Ceibas.
• Merchant / Marketplace Partner: a business or brand participating in the app.entreceibas.com marketplace (a progressively rolled-out feature, see Section 16).
• End User: a person who uses the Ecosystem to book, register for, or participate in an Event or experience.
• Sensitive Data: national ID (DPI)/passport, date of birth, blood type, allergies, medical conditions, and emergency contact information.
• Technology Providers: Bókun, Recurrente, Supabase, Vercel, Netlify, GitHub, MapTiler, Resend, and Google (Google Analytics).

3.1 entreceibas.com is a static site that presents the Curated Partner Catalog and allows booking and payment through a Bókun calendar embedded via iframe (Part A).

3.2 app.entreceibas.com is an application with user accounts that lets you discover routes, points of interest, and Events, register for them, and — progressively — access a Merchant marketplace (Part B).

3.3 Entre Ceibas may add, modify, suspend, or discontinue Ecosystem features at any time.

4.1 You must be at least 13 years old to create an account on app.entreceibas.com. Persons aged 13 to 17 may only use it with the knowledge and supervision of a parent or legal guardian, and their in-person participation in Events requires the express authorization of a responsible adult. Contracting, booking, or paying anywhere in the Ecosystem requires being of legal age under Guatemalan law. Entre Ceibas does not allow a minor to create an account in order to take part in a family Event, and does not intentionally collect personal data directly from the minor; that registration is governed by Clause 4.5.

4.2 To register for an Event, you must complete a verification process (onboarding) that includes your date of birth, national ID (DPI) or passport, phone number, and emergency contact details. This information must be truthful, accurate, and up to date; a single identity document cannot be associated with more than one account.

4.3 You are responsible for keeping your credentials confidential and for all activity carried out from your account.

4.4 An Organizer or Merchant may be required to complete additional verification (permits, licenses, tax information) before their profile is activated.

4.5 Family activities: no account for the minor. When a family Event allows it, only a parent or legal guardian may register the minors accompanying them. They may do so when registering for the Event, or on site on the day of the Event. On-site listing happens only if that adult is present; without the adult, the minor is not listed. That registration does not create a user or an account for the minor. Entre Ceibas does not allow the minor to create an account in order to take part, and does not intentionally collect personal data directly from the minor. The full rules are in Clauses 15.4 through 15.6 and in Section 15 of the Master Privacy Policy.

The processing of personal data — including Sensitive Data — is governed by the Master Privacy Policy, available at entreceibas.com/legal/privacidad, which is an integral part of these Terms.

Under the Guatemalan Law on the Recognition of Electronic Communications and Signatures (Decreto 47-2008), electronic acceptance of these Terms and communications sent by email via Resend have full legal validity and are equivalent to your signature and written consent. Entre Ceibas keeps a technical record (version accepted, date, time, account) of each acceptance.

7.1 The software, design, brand, logos, trail data, and original content of the Ecosystem are owned by Entre Ceibas or its licensors. Base maps are provided by third parties and are subject to their own licenses.

7.2 If you publish content (profile, bio, photos, comments), you represent that you own it and grant us a non-exclusive, royalty-free license to host and display it solely to operate and promote the Ecosystem. You may withdraw it by deleting it or closing your account.

7.3 Content published by Organizers and Merchants remains their property; by publishing it, they grant Entre Ceibas a similar license to display it for the purpose of promoting the Event or product.

8.1 You may not: publish false, offensive content, or content that infringes third-party rights; impersonate someone else; access systems or accounts without authorization; use the Ecosystem for unlawful purposes; interfere with its operation; use bots or scrapers without written authorization; or commercially reuse routes, GPX files, or Platform content without authorization.

8.2 The Ecosystem may include links to or content from third parties. Entre Ceibas does not control and is not responsible for their content or practices; their inclusion does not imply endorsement.

9.1 For experiences in the Curated Partner Catalog, Entre Ceibas is the one who charges you and who is liable for your booking, even when the experience is operated by a partner. These experiences enter the catalog as Entre Ceibas's own products within its booking system (Bókun): Entre Ceibas charges the customer and independently coordinates date and payment with the provider. If something goes wrong, your counterparty is Entre Ceibas, not the partner operator.

9.2 This regime differs from the one described in Part B: here, Entre Ceibas assumes sales and service liability toward the End User; this is not simple technology intermediation. Entre Ceibas selects partners for this catalog according to its own curation criteria.

10.1 Payment is processed through Bókun, within a calendar embedded on each experience's page. A receipt is emailed once the purchase is complete. The price shown in the booking calendar is the final price; the "from" price shown on listings is indicative and may be up to 6 hours out of date.

10.2 The booking engine and payment processing described in this section are operated by Bókun (a service provided by Tripadvisor LLC), a provider independent of Entre Ceibas. By paying through the Bókun calendar, you also accept Bókun's Terms of Service and Privacy Policy for the processing of that transaction; those documents govern exclusively your relationship with Bókun regarding the processing of the booking and payment, and do not replace or limit these Terms with respect to Entre Ceibas.

11.1 Each experience has its own cancellation policy, published on its detail page before you book. As a general rule, experiences operated by partners are non-refundable or have a short cancellation window: when Entre Ceibas is likewise unable to recover the provider's payment for a late cancellation, it cannot refund the customer.

11.2 If the provider fails to deliver (the guide does not show up, the operator cancels without notice, what was published on the detail page is not honored), you file a claim with Entre Ceibas, and Entre Ceibas resolves it with the provider on its end. Depending on the case: rescheduling, offering an equivalent alternative, or a refund. To file a claim, write to soporte@entreceibas.com or via WhatsApp with your booking number, within 30 days of the experience date.

11.3 If Entre Ceibas must cancel due to weather, safety, or insufficient minimum capacity, it will reschedule at no cost or refund 100% of the payment, at the End User's choice.

11.4 You are responsible for arriving in adequate physical condition, bringing the required equipment, and following the guide's instructions. The assumption of risk detailed in Clause 15.1 also applies here to the extent relevant to outdoor physical activities.

12.1 Information about routes (difficulty, distance, conditions, maps, GPX files, points of interest) is for reference only and may not reflect actual conditions at the time of your activity; trail data may contain inaccuracies or cross terrain whose access has changed.

12.2 When you use this information to go out on your own — without registering for an Organizer's Event or booking from the Curated Catalog — you participate at your own risk and responsibility. In that scenario, Entre Ceibas is not the organizer or guide of the activity, does not guarantee the safety or passability of the routes, and neither the resale regime of Part A nor the intermediation regime of Part B applies — only this specific informational-use clause does.

14.1 Every Organizer represents that it has the legal capacity and, where applicable, the permits and valid insurance needed to run its Event, and agrees to provide reasonable evidence of this when the type of Event warrants it (mass events, use of public roads, participation of minors).

14.2 The Organizer is solely responsible for the accuracy of the information it publishes and for its tax obligations to the Guatemalan Tax Authority (SAT) for income generated through the Platform.

14.3 The Organizer may change the date, meeting point, or conditions of the Event, or cancel it, due to force majeure, weather, or safety reasons, giving as much advance notice as possible; may deny participation to anyone who does not meet the published requirements (age, equipment, physical condition, identity verification at check-in); and may check in participants who show up without prior registration, when the Event allows it.

15.1 Registration for an Event is personal and non-transferable and is subject to available capacity. You may cancel your registration for a free Event at any time from the Platform; we ask that you do so as far in advance as possible to free up the spot.

15.2 You are responsible for reading and accepting each Event's specific conditions before registering, and for following the Organizer's safety instructions.

15.3 Emergency and health data. When registering for an Event, you provide an emergency contact and, optionally, information about medical conditions and allergies. You authorize that Event's organizing team to access that information exclusively to assist you in an emergency and to contact the person you designated. You are responsible for keeping it up to date and accurate; Entre Ceibas will not be liable for consequences arising from incomplete, outdated, or false information. The full framework for this processing is set out in Section 8 of the Master Privacy Policy.

15.4 No account and no direct collection. If the family Event allows it, only a parent or legal guardian may register the minors aged 0 to 17 accompanying them. They may do so when registering for the Event, or on site. On-site listing requires that adult to be present: if the adult is not there, the minor is not listed and Entre Ceibas does not collect the minor's data. That registration does not open an account: the minor is not assigned an email or password, the minor's identity document is not recorded, the minor is not an End User, and Entre Ceibas does not allow the minor to create an account in order to take part or ask the minor for data directly. The data is limited to name, age, and, when the Event requires an equipment rental, the corresponding size or measurement (for example, a bicycle or gear). Processing is set out in Section 15 of the Master Privacy Policy.

15.5 Authority to register. The adult who registers the minor represents and warrants that they are the minor's parent or legal guardian, and that they have authority to share this information and to register the minor. The data they provide is accurate. Entre Ceibas and, where applicable, the Organizer may rely on that representation.

15.6 Responsibility of the accompanying adult. The adult who registers the minor assumes one hundred percent (100%) of the responsibility for the minor's safety, behavior, and supervision throughout the activity, and must be present while the minor takes part. On-site listing does not replace that presence. Entre Ceibas, S.A. acts as the platform and, when it organizes the activity itself, as organizer; the physical and legal responsibility for the minor remains entirely with the accompanying adult at all times during the Event. Being on the registration does not make the minor a user and does not shift that responsibility to Entre Ceibas.

16.1 Entre Ceibas is progressively rolling out a marketplace where Merchants and Brands can offer products, redeemable benefits, discounts, or partnerships to the app.entreceibas.com End User community. While this feature is not yet active for a given Merchant, Sections 16.2 through 16.4 will apply once it is activated.

16.2 Entre Ceibas acts as the marketplace's technology facilitator and is not a party to the commercial relationship between the Merchant and the End User, except for the payment intermediation services it provides via Recurrente under Section 17.

16.3 Merchants are responsible for the quality, legal warranty, truthful advertising, and regulatory compliance — including the Consumer and User Protection Law — of what they offer. Entre Ceibas is not responsible for products or services provided by partner Merchants.

16.4 Entre Ceibas may charge a fee for use of the marketplace and/or the payment gateway, disclosed to the Merchant before publication and reflected in its settlement.

17.1 Feature rolling out progressively. As of this version, app.entreceibas.com does not generally process online payments, and published Events are free unless their detail page states otherwise. This section applies to the extent the Platform enables payments for a given Event, Merchant, or feature.

17.2 Once the Platform enables payment, prices, conditions, availability, and cancellation policy will be shown before the transaction is confirmed, and the charge will be processed through Recurrente. By paying, you also accept Recurrente's Terms and Privacy Policy for the processing of that transaction.

17.3 Entre Ceibas does not store full payment card data; Recurrente captures and tokenizes it directly under its own standards (PCI-DSS).

17.4 Refund and cancellation policies for each marketplace Event or product will be set by the responsible Organizer or Merchant and shown before purchase. Entre Ceibas may operationally process, via Recurrente, a refund authorized by the Organizer or Merchant, without this implying that Entre Ceibas decides on, authorizes, or funds that refund.

18.1 The Ecosystem is provided "as is" and "as available." Entre Ceibas does not guarantee it is free of errors or interruptions, since it depends on external Technology Providers (Bókun, Recurrente, Supabase, Vercel, Netlify, MapTiler, Resend). The Ecosystem is under active development; its features may change and some data may be lost or modified during that process.

18.2 Under no circumstances will Entre Ceibas be liable for indirect, incidental, special, punitive damages, or lost profits arising from use or inability to use the Ecosystem.

18.3 Entre Ceibas's total liability toward an End User, for causes directly attributable to Entre Ceibas (not to an Organizer, Merchant, or partner provider under Part B, nor to a provider under the Curated Catalog under Part A, whose own limits are set out in Sections 9 and 13), is limited to the amount that user paid to Entre Ceibas in the preceding three (3) months, or one hundred United States dollars (USD 100.00), whichever is greater.

18.4 Nothing in these Terms excludes liability that cannot be excluded under Guatemalan law, in particular for willful misconduct or gross negligence.

You agree to defend, indemnify, and hold harmless Entre Ceibas, its directors, employees, and staff from any claim, damage, loss, or expense (including reasonable legal fees) arising from: (a) your use of the Ecosystem; (b) your breach of these Terms; (c) your infringement of third-party rights; (d) the falsity of the information you provided; or (e) the participation, safety, behavior, or supervision of a minor you registered for an Event, or the inaccuracy of the data you provided about that minor.

20.1 You may stop using the Ecosystem at any time and request deletion of your account by writing to soporte@entreceibas.com.

20.2 Entre Ceibas may suspend or terminate your access at any time, with or without cause, with or without prior notice, in the event of a breach of these Terms, fraudulent use, false information, or risk to the safety of other users.

20.3 Provisions that by their nature must survive termination (intellectual property, assumption of risk, limitation of liability, indemnification) remain in effect.

Entre Ceibas may update these Terms periodically. Material changes will be notified through a notice on the Platform or by email at least 15 days in advance. Continued use after that period constitutes acceptance. If you do not agree, you may cancel your account before the changes take effect.

22.1 These Terms are governed by the laws of the Republic of Guatemala. For any dispute, the parties submit to the jurisdiction of the competent courts of Guatemala City.

22.2 If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Entre Ceibas's failure to exercise a right does not constitute a waiver. These Terms, together with the Master Privacy Policy, constitute the entire agreement between the parties.

22.3 Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between Entre Ceibas and Organizers, Merchants, or End Users, except for the direct sales relationship described in Part A for the Curated Partner Catalog.
